MGM Resorts, People Inc. Amend Voting Agreement to Clear Path for Future Sale

Voting Agreement Amended to Facilitate Transaction

MGM Resorts International and Barry Diller’s People Inc. have amended their voting agreement, a move that could facilitate a future sale of the Las Vegas-based operator. The revised terms alter the dynamic of Diller’s approximately 26% stake in MGM shares, specifically regarding how those shares will be handled in a potential change-of-control transaction.

Under the new arrangement, People Inc. will pledge its shares in accordance with the MGM board’s recommendation if a change-of-control transaction occurs. This represents a significant shift from Diller’s earlier position. Following the disclosure of an $18 billion takeover proposal, Diller had indicated he would oppose competing offers from third parties. The amended agreement effectively removes that obstacle, allowing the MGM board to pursue a transaction without the guaranteed opposition of the second-largest shareholder.

MGM Resorts stated it is not currently holding discussions with Diller’s media consortium about a transaction. The company has also not announced talks with any other potential acquirer. However, the company’s chairman described the amended agreement as creating “a clear path to maximize value through share repurchases and a change of control (CoC) transaction, if applicable.” CreditSights interpreted these comments as leaving the door open to a future acquisition.

MGM China in Focus for Potential Buyers

The amendment places MGM China, the Macau-based subsidiary in which MGM Resorts holds a 56% stake, in the center of any potential deal. CreditSights warned that MGM China could face “event risk” if its parent company changes ownership, noting that the subsidiary is a key component of the overall valuation.

According to CreditSights, the subsidiary’s recent performance makes it a strong asset in any potential sale. The firm noted that MGM China reported a “decent 3Q26 results” with a stronger market share. Additionally, the company’s leverage metrics remained well below pre-pandemic levels. CreditSights stated that this “continued strong operational performance” serves as a positive draw for potential buyers of MGM Resorts.

Earlier this year, in July, MGM China purchased a hotel management business focused on the mainland from its parent group. The subsidiary operates the MGM Cotai and MGM Macau properties in Macau. Unconfirmed reports suggested that Diller was considering selling MGM Resorts’ stake in MGM China, as well as its interest in MGM Osaka, though these reports have not been confirmed by the companies involved.

Less Acute Takeover Overhang

Analysts have noted that the takeover overhang associated with Diller’s proposal is considered less acute following the changes to the voting agreement. By aligning the pledge of People Inc.’s shares with the board’s recommendation, the structure reduces the friction that typically accompanies a hostile or contested bid scenario.

The development follows a period of heightened interest in MGM Resorts’ corporate structure. The $18 billion proposal by Diller’s consortium had previously signaled interest in a full acquisition, but the subsequent amendment to the voting agreement suggests a potential shift in strategy or a compromise on the mechanics of any future deal.

MGM Resorts has not provided a timeline for any potential transaction. The company continues to operate its casino and hotel properties in Las Vegas, Macau, and other jurisdictions, with the amended agreement providing a clearer framework for how a change of control would be executed if pursued in the future.

Why It Matters

The amended voting agreement removes a structural barrier to a potential sale of MGM Resorts by aligning People Inc.’s shares with board recommendations. This change places MGM China, a high-performing asset with strong 3Q26 market share, in direct focus for acquirers. For stakeholders, the shift reduces the risk of a contested bid and clarifies the path for a change-of-control transaction involving the parent company and its Macau subsidiary.
